Foreign Corporation Requirements

A foreign corporation is a business entity that has incorporated in another state.

 

There are two types of foreign corporations:

      Those that do business in Massachusetts. These corporations must be registered with the Massachusetts Secretary of State’s Corporations Division.

      Those that do not do business in Massachusetts, but own one or more vehicles that are in the custody of a Massachusetts resident. These corporations do not need to be registered with the Massachusetts Secretary of State’s Corporations Division. However, they are required to be incorporated.

 

The following required documentation must be presented at an RMV Service Center when registering and/or titling a vehicle in the name of a foreign company:

      Title or Manufacturer’s Certificate of Origin, or other documents, if required, assigned to the corporation

      An RMV-1 Form listing the Corporation’s or Limited Liability Company's name and their Tax Identification Number (TIN) or Employer Identification Number (EIN)

      Proof of Tax Identification Number (TIN)
